Terms & Conditions

The terms governing your use of the SNUD OS™ platform and services.

Effective Date: June 12, 2026

1. Acceptance of Terms

By accessing or using the SNUD OS™ platform ("Platform"), website (start.snudos.com), or any services provided by SNUD OS™, operated by SNUD OS™ ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and the Company.

If you do not agree to these Terms, you must not access or use our Platform or services. Your continued use of the Platform following any modifications to these Terms constitutes your acceptance of those changes.

These Terms apply to all users, visitors, clients, and any other persons who access or use the Platform, including but not limited to business owners, their employees, agents, and representatives.

2. Description of Services

SNUD OS™ operates as a Business Automation as a Service (BaaS) platform, offering comprehensive business automation, digital presence, and marketing solutions. Our services include but are not limited to:

Website Development & Hosting: Professional website design, development, deployment, and ongoing hosting and maintenance
CRM Integration: Setup and configuration of our proprietary SNUD Engine™ CRM and automation platform
Marketing Automation: Automated email sequences, SMS campaigns, social media scheduling, and lead nurture workflows
AI-Powered Tools: Chatbots, automated booking systems, review management, and intelligent lead routing
Business Operations: Missed call text-back, invoice automation, appointment scheduling, and pipeline management
Creative Services: Logo design, brand identity, social media content creation, and marketing collateral
Consulting & Strategy: Business process analysis, marketing strategy, and optimization recommendations

The specific services provided to you will depend on your selected package tier (EASY, MEDIUM, HARD, or ELITE) as described on our Platform at the time of purchase.

3. User Eligibility

To use the SNUD OS™ Platform and services, you must:

Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater
Have the legal authority to enter into a binding agreement
If registering on behalf of a business entity, have the authority to bind that entity to these Terms
Provide accurate, current, and complete information during registration and maintain the accuracy of such information
Not have been previously suspended or removed from the Platform

By using our services, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Platform.

4. Subscriptions, Setup Fees & 48-Hour Deployment

Package Tiers & Pricing:

SNUD OS™ offers four service tiers — The Spark, The Flow, The Boss, and The Empire — each with a one-time setup fee and a recurring monthly subscription. Current pricing is displayed on our Platform and is subject to change with 30 days' notice to existing subscribers.

One-Time Setup Fees:

Setup fees cover the initial buildout, configuration, and deployment of your business automation systems. Payment structure: 50% is due at checkout, and the remaining 50% is financed at 0% APR over 18 monthly installments. Your first installment payment is due 45 days after checkout, giving you time to see results before the balance begins.

48-Hour Deployment Guarantee:

Upon receipt of your completed onboarding form and all required assets (logo, brand guidelines, content), we commit to deploying your initial systems within 48 business hours. This guarantee is contingent upon timely provision of required materials by you. Delays in providing requested information or assets may extend the deployment timeline.

Founders Pricing (50% Discount):

As a limited-time offer, the first qualifying subscribers receive Founders pricing — a 50% discount on the standard monthly subscription rate — locked in for 12 consecutive months from the date of initial deployment. After the 12-month Founders period, your subscription automatically transitions to the standard (full) monthly rate for your package tier. You will be notified at least 30 days before the pricing transition.

Monthly Subscriptions:

After initial deployment, monthly subscription fees cover ongoing hosting, maintenance, support, and continued access to the Platform's features. Subscriptions are billed monthly and renew automatically unless cancelled in accordance with Section 5.

Payment Terms:

All payments are processed through secure third-party payment processors. You agree to provide accurate billing information and authorize recurring charges for your subscription. Failed payments may result in service suspension after a 7-day grace period and written notice.

5. Cancellation & Refunds

30-Day Money-Back Guarantee:

We offer a 30-day money-back guarantee on monthly subscription fees for all new service packages. If you are not satisfied with our services within the first 30 days of your initial deployment, you may request a full refund of your monthly subscription fees paid during that period by contacting us at [email protected].

Setup Fee — Non-Refundable:

Because our team begins work immediately upon receiving your completed onboarding form — including custom design, automation buildout, and our 48-hour deployment commitment — the one-time setup fee (including the 50% down payment collected at checkout) is non-refundable. This policy reflects the immediate investment of labor, resources, and infrastructure dedicated to your project from the moment you sign up.

Conditions for Monthly Fee Refund:

The refund request must be submitted in writing within 30 calendar days of your initial deployment date
You must provide specific feedback regarding why the services did not meet your expectations
Refund applies only to monthly subscription fees — setup fees, remaining financing installments for work already completed, and third-party costs are excluded
Any custom domain names registered on your behalf are non-refundable
Third-party software licenses or services activated on your behalf are subject to those providers' own refund policies

Subscription Cancellation:

You may cancel your monthly subscription at any time by providing written notice to [email protected]
Cancellations take effect at the end of the current billing cycle
No partial refunds are provided for unused portions of a billing cycle
Upon cancellation, you will retain access to your services through the end of your paid period

Post-Cancellation:

Website hosting and automation services will be discontinued at the end of the paid period
We will provide a reasonable window (14 days) for you to export your data
Custom-built assets (websites, designs, content) created during your service period remain your intellectual property
CRM data and contacts belong to you and will be made available for export upon request

6. Service Level & Availability

Uptime Commitment:

We strive to maintain 99.5% uptime for all hosted services, measured on a monthly basis. This excludes scheduled maintenance windows, which we will announce at least 24 hours in advance when possible.

Scheduled Maintenance:

Routine maintenance is typically performed during off-peak hours (12:00 AM – 6:00 AM EST). We will notify affected clients via email before any planned downtime that may impact services.

Support Response Times:

Critical issues (site down, payment processing failure): 4-hour response
Standard issues (feature requests, non-critical bugs): 24-hour response
General inquiries: 48-hour response

Support Channels:

Support is available via email ([email protected]), phone ((757) 829-7575), and through the Platform's built-in communication tools during business hours (Monday–Friday, 9:00 AM – 6:00 PM EST).

Exclusions:

Our uptime commitment does not cover interruptions caused by:

Force majeure events (natural disasters, power outages, etc.)
Third-party service provider outages
Actions or inactions of the User
Scheduled maintenance as described above

7. Consent to Communications

By using the SNUD OS™ Platform or providing your contact information, you consent to receive communications from us, including:

Transactional Communications: Service-related emails, deployment notifications, account updates, billing receipts, and support correspondence. These are essential to service delivery and cannot be opted out of while maintaining an active account.
Marketing Communications: Promotional emails, newsletters, feature announcements, educational content, case studies, and special offers related to our services.
SMS/Text Messages: Service alerts, appointment reminders, and marketing messages if you have opted in to SMS communications.
Phone Calls: Follow-up calls related to your account, onboarding assistance, and support requests.

All marketing communications will include clear identification of SNUD OS™ as the sender, our physical mailing address, and a mechanism to opt out of future messages. We comply with the CAN-SPAM Act, TCPA, and all applicable communications regulations.

8. Opt-Out

You may opt out of non-essential communications at any time through the following methods:

Email Marketing: Click the "unsubscribe" link at the bottom of any marketing email
SMS/Text Messages: Reply STOP to any text message
Phone Calls: Request removal from our call list during any phone conversation or via email
Direct Request: Email [email protected] with the subject line "OPT-OUT" and specify which types of communications you wish to stop receiving

Processing Time:

Opt-out requests will be processed within 10 business days. During this period, you may still receive previously scheduled communications.

Important Notes:

Opting out of marketing communications will not affect transactional messages related to your active services (billing, security alerts, service updates)
If you opt out of all marketing communications but later engage with a new service or promotion, you may need to opt out again for that specific campaign
Opt-out preferences are maintained indefinitely unless you subsequently opt back in

9. User Responsibilities & Customer Data

Your Responsibilities:

As a user of the SNUD OS™ Platform, you are responsible for:

Maintaining the confidentiality of your account credentials
Providing accurate and timely information, content, and assets required for service delivery
Ensuring that any data, content, or materials you provide do not infringe on third-party rights
Complying with all applicable laws and regulations related to your business operations
Promptly notifying us of any unauthorized access to your account
Using the Platform and services only for lawful business purposes

Customer Data Ownership:

All business data, customer lists, contact information, and content you provide or generate through our Platform remains your property
We act as a data processor on your behalf and will not use your customer data for any purpose other than providing our services to you
You are responsible for ensuring your collection and use of customer data complies with applicable privacy laws (e.g., CCPA, GDPR where applicable)
Upon termination of services, you may request export of all your data within the 14-day post-cancellation window

Content Responsibility:

You are solely responsible for the accuracy, legality, and appropriateness of all content, data, and materials you provide to us or publish through our services.

10. Prohibited Conduct

You agree not to use the SNUD OS™ Platform or services to:

Violate any applicable local, state, national, or international law or regulation
Send spam, unsolicited commercial messages, or engage in any form of unauthorized mass communication
Distribute malware, viruses, or any other harmful software
Attempt to gain unauthorized access to our systems, other users' accounts, or any connected networks
Use our services for any illegal, fraudulent, or deceptive business practices
Infringe on intellectual property rights, including copyrights, trademarks, or patents of any third party
Engage in activities that could harm, disable, or impair the Platform or interfere with other users' access
Use automated scripts, bots, or crawlers to access the Platform without our express written permission
Resell, sublicense, or redistribute our services without authorization
Use the Platform to collect, store, or process sensitive personal data (e.g., Social Security numbers, health records) unless specifically agreed upon in writing
Misrepresent your identity or affiliation with any person or entity

Violation of these prohibitions may result in immediate suspension or termination of your account and services, without refund, and may subject you to legal liability.

11. Third-Party Integrations

Our services may integrate with or rely upon third-party platforms, software, and services, including but not limited to:

CRM & Automation: Our proprietary SNUD Engine™ and related automation tools
Payment Processing: Secure payment gateways for subscription billing
Communication Tools: SMS providers, email service providers
Analytics: Website analytics and tracking platforms
Social Media: Facebook, Instagram, Google Business Profile, TikTok
Cloud Services: Enterprise-grade hosting and cloud infrastructure

Important Disclaimers:

Third-party services are governed by their own terms of service and privacy policies, which you should review independently
We are not responsible for the availability, performance, security, or content of third-party services
Changes to third-party APIs or services may temporarily affect Platform functionality; we will work to resolve integration issues promptly
Any fees charged by third-party services (e.g., CRM subscriptions, SMS credits, domain registrations) are your responsibility and are separate from SNUD OS™ service fees
We do not guarantee ongoing compatibility with any specific third-party service

By using our integrated services, you authorize us to connect to and exchange data with these third-party platforms on your behalf as necessary to deliver our services.

12. Disclaimer of Warranties

THE SNUD OS™ PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE PLATFORM
WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE COMPANY OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

We do not guarantee specific business outcomes, revenue increases, lead generation volumes, or return on investment from the use of our services. Marketing and automation results vary based on numerous factors outside our control including industry, market conditions, competition, and the quality of your products or services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM
WE SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM:
Your failure to maintain the security of your account credentials
Third-party service outages or failures
Force majeure events
Your violation of these Terms
Unauthorized modifications to your systems or services by you or third parties

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

The limitations in this section apply regardless of the theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise.

14. Indemnification

You agree to indemnify, defend, and hold harmless SNUD OS™, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use or misuse of the SNUD OS™ Platform or services
Your violation of these Terms or any applicable law or regulation
Your violation of any rights of a third party, including intellectual property, privacy, or publicity rights
Any content, data, or materials you provide through or upload to the Platform
Your business operations and any claims made by your customers, clients, or end users
Your negligent or willful misconduct

This indemnification obligation shall survive the termination of your account and these Terms. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim.

15. Privacy & Data Use

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the data practices described therein.

In the event of any conflict between these Terms and the Privacy Policy regarding data handling practices, the Privacy Policy shall control.

16. Governing Law

These Terms and any disputes arising out of or related to these Terms or the use of the SNUD OS™ Platform shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States of America, without regard to its conflict of law provisions.

Dispute Resolution:

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days
If the dispute cannot be resolved through negotiation, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
The arbitration shall take place in Norfolk, Virginia, and shall be conducted by a single arbitrator
The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction

Class Action Waiver:

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Jurisdiction:

For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Norfolk, Virginia.

17. Changes to Terms

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make changes:

We will post the updated Terms on this page with a revised "Last Updated" date
For material changes that significantly affect your rights or obligations, we will provide at least 30 days' advance notice via email to your registered email address
A summary of key changes will be provided at the top of the updated Terms
We may also notify you through the Platform dashboard or other reasonable means

Your Options:

If you disagree with the updated Terms, you may cancel your subscription and stop using the Platform before the changes take effect
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms

We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when the Terms were last revised.
